L-3 Communications Agrees to Merger With Titan Corp.

SAN DIEGO

Titan Corp. and L-3 Communications have agreed to a $2.65
billion merger in which L-3 will acquire all of Titan,
provider of information and communications systems for
government agencies that specialize in national security.
The transaction has been approved by the board of directors
of each company and will now be subject to approval by
Titan shareholders.

Titan recently entered into memoranda of understanding to settle securities law class actions and derivative suits pending in Federal and State courts in California and Delaware.

L-3 Communications specializes in access control systems and the merger will likely expand its horizons in the IT arena.
