Pro One Elects CEO to Its Board

TOPEKA, Kan.

Security monitoring company Protection One’s president and
CEO Richard Ginsburg was one of nine directors elected by
the company’s board of directors at its recent annual
stockholder meeting held in Irving, Texas.

Other elected directors are Ben Enis, James Wilson, Donald Johnston, and five individuals nominated by Westar Energy, the majority stockholder of Pro One. They are: William Moore; Bruce Akin; Larry Irick; Greg Greenwood; and James Clark.

Prior to the election of directors, Darius Nevin, CFO of Protection One, resigned as a director to accommodate the election of the five Westar nominees. Under the terms of the contribution agreement between Westar and Pro One, Westar must vote its shares of common stock of the company to elect one executive officer of the company, at least three independent directors and the number of individuals selected by Westar necessary to fill the remaining positions on the board of directors.
